These terms apply to use of the Healthie Wholesalers website and to orders placed through our online store unless separate written terms have been agreed with you.
Healthie Wholesalers is operated by TND Ventures Pty Ltd trading as Healthie Wholesalers, ABN 37 693 658 061.
1. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or any other applicable law. Our Refund, Return & Exchange Policy operates in addition to those rights.
2. Product information
We take reasonable care to keep product descriptions, ingredients, pack sizes, prices, images and availability accurate. Packaging, specifications, crop origin and supplier information can change from time to time. If a specification is critical to your purchase, including for manufacturing, resale, certification, allergen management or other commercial use, please contact us before ordering so we can confirm the current information available to us.
Website content is general product information and is not medical advice. Do not rely on our website to diagnose, treat or prevent a medical condition.
3. Allergens and food information
Customers are responsible for reviewing the current product label and information relevant to their needs. Where a customer has a serious allergy or requires a specific product specification, please contact us before ordering. We will provide available product information, but manufacturing and packing environments can change and supplier documentation may be updated.
4. Prices and GST
Prices are in Australian dollars and include GST where applicable unless clearly stated otherwise. Prices may change from time to time before an order is accepted. If there is an obvious pricing, data-entry or system error affecting an order, we will contact you before fulfilment and give you the option to proceed at the correct price or cancel for a refund.
5. Orders and acceptance
Submitting an order is an offer to buy the goods in your cart. An order is accepted when we confirm acceptance or commence fulfilment, subject to payment, availability and any verification reasonably required. We may decline an order before acceptance for genuine reasons such as stock unavailability, pricing or system error, suspected fraud, delivery limitations or legal restrictions. If we decline a paid order, we will refund the amount paid for the affected goods.
We will not substitute a materially different product without your agreement.
6. Payment
Payment must be made using a payment method offered at checkout or under any separate approved account arrangement. If a payment is reversed, dishonoured or subject to a valid chargeback, we may pause fulfilment or seek payment of amounts properly owing.
7. Shipping, delivery and collection
Our Shipping & Delivery Policy forms part of these terms. Delivery estimates are estimates rather than guarantees unless we expressly agree otherwise. Please provide accurate delivery details and follow any storage instructions for food products.
8. Returns, refunds and cancellations
Our Refund, Return & Exchange Policy explains how we handle change-of-mind requests, faulty goods, missing or damaged items and cancellations. Change-of-mind rights are separate from any rights available under the Australian Consumer Law.
9. Wholesale, trade and commercial orders
We supply both household and commercial customers. Approved account customers or larger commercial purchases may be subject to separate written pricing, payment, delivery, minimum-order or credit terms. If separate terms are agreed, they apply together with these terms and prevail to the extent of any inconsistency.
Commercial customers should independently assess whether a product is suitable for their intended manufacturing, processing, labelling, resale or regulatory requirements. This does not limit any rights or obligations that cannot lawfully be excluded.
10. Promotions and discounts
Promotions may have stated eligibility dates, products, minimum spends, redemption limits or other conditions. Unless we state otherwise, discounts cannot be exchanged for cash and may not be combined. We will not apply a promotional condition in a way that would remove a right you have under law.
11. Accounts and website use
You are responsible for keeping your account credentials secure and for providing accurate information. You must not misuse the website, interfere with its operation, attempt unauthorised access, introduce malicious code, scrape the site in a way that materially disrupts it, or use the site for unlawful purposes.
12. Intellectual property
Unless otherwise stated, website content, branding, product photography and other material created by or for Healthie Wholesalers is owned by us or used under licence. You may use the website for ordinary personal or business purchasing purposes, but you must not reproduce or commercially exploit our content without permission where permission is required by law.
13. Third-party services and links
Our website may use or link to third-party services, including payment, logistics and technology providers. Those providers may have their own terms and privacy practices. We are responsible for our own obligations and do not seek to exclude any responsibility that the law does not allow us to exclude.
14. Liability
To the maximum extent permitted by law, each party is responsible for loss or damage to the extent it is caused by that party's breach, negligence or unlawful conduct. We do not exclude liability that cannot lawfully be excluded. Where the law permits liability to be limited, any limitation will apply only to the extent it is fair, reasonable and lawful in the circumstances.
15. Changes to these terms
We may update these terms for future use of the website and future orders. Changes do not retrospectively alter an order that we have already accepted unless the parties agree or the law requires it.
16. Governing law
These terms are governed by the laws applying in Queensland, Australia. Nothing in this clause prevents a customer from relying on rights available under applicable consumer law or using a forum they are legally entitled to use.
